1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Flourich platform, operated by Flourich Ltd ("Flourich", "we", "us", or "our"), a company registered in England and Wales. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you must not use the platform. We may update these Terms from time to time; continued use of the platform after changes are published constitutes your acceptance of the updated Terms.
2. Definitions
"Platform" means the Flourich website and any associated mobile applications. "Creator" means a user who lists and provides creative services through the Platform. "Customer" means a user who purchases creative services through the Platform. "Booking" means a confirmed transaction between a Customer and a Creator for a specific service. "Content" means any creative work delivered by a Creator as part of a Booking, including photographs, videos, graphic designs, and written materials. "Commission" means the platform fee charged by Flourich on each Booking.
3. Account Registration
You must be at least 18 years old and a UK resident (or legally permitted to contract in the UK) to register an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Flourich reserves the right to suspend or terminate accounts that violate these Terms or that are found to contain false or misleading information.
4. Creator Obligations
Creators are independent contractors and not employees, agents, or partners of Flourich. Creators are solely responsible for the quality, accuracy, and legality of the services and Content they provide. Creators must deliver services as described in their listings, meet agreed delivery timescales, and respond to revision requests in good faith. Creators must ensure they hold any necessary rights, licences, or consents required to create and deliver the Content. Creators are responsible for their own tax obligations arising from income earned through the Platform.
5. Customer Obligations
Customers must provide accurate briefs and sufficient information to enable Creators to deliver services as requested. Customers agree not to request Content that is unlawful, harmful, defamatory, or in breach of any third-party rights. Customers are responsible for reviewing delivered Content promptly and raising any concerns through the Platform within the review window. Misuse of the revision or dispute processes may result in account suspension.
6. Payments & Fees
All payments are processed via Stripe, a PCI-compliant third-party payment processor. Customers pay the full booking amount at the time of booking. Flourich charges Creators a 15% platform commissionon each completed transaction; Creators receive the remaining 85%. Payments are held in escrow until a Booking is marked complete, at which point earnings are released to the Creator's Flourich balance. Flourich does not charge Customers any platform fees. All prices on the Platform are displayed in GBP and are inclusive of VAT where applicable.
7. Intellectual Property
Upon full payment for a completed Booking, the Creator grants the Customer a non-exclusive, royalty-free licence to use the delivered Content for the purposes agreed in the service listing, unless a broader licence is expressly stated. Creators retain their underlying intellectual property rights unless a full transfer of copyright is explicitly agreed in writing. Flourich owns all intellectual property in the Platform itself, including its trademarks, software, and design. Nothing in these Terms transfers any rights in the Flourich brand to users.
8. Cancellation & Refunds
Customers may cancel a Booking before the Creator has commenced work for a full refund. Once work has commenced, refunds are at the discretion of Flourich support, taking into account the proportion of work completed. If a Creator fails to deliver within the agreed timeframe without prior communication, the Customer may request a full refund. Flourich reserves the right to issue refunds where it determines a service was not delivered as described. All refunds are credited to the original payment method within 5–10 business days.
9. Prohibited Conduct
Users must not attempt to circumvent the Platform by arranging direct payments outside of Flourich, engage in fraudulent activity, post false reviews, harass or discriminate against other users, upload malware or harmful code, or use the Platform for any purpose that is unlawful under English law. Flourich reserves the right to remove any Content, suspend any account, or report activity to law enforcement authorities where it suspects a breach of these prohibitions.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Flourich shall not be liable for any indirect, incidental, special, or consequential losses arising from your use of the Platform, including loss of profits, loss of data, or business interruption. Flourich acts solely as an intermediary between Creators and Customers and accepts no liability for the quality, legality, or fitness for purpose of Content delivered by Creators. Our total aggregate liability to you shall not exceed the total fees paid by or to you through the Platform in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.
11. Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Any disputes that cannot be resolved amicably between the parties shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also have the right to bring a claim in the courts of the country in which you reside.
